Root & Render Design Studio

Client Services Agreement

This Client Services Agreement (“Agreement”) governs the professional services provided by Root & Render Design Studio, LLC, a Georgia limited liability company (“Root & Render”), to the client (“Client”).

By engaging Root & Render for services, the Client agrees to the terms outlined below.


1. Services

Root & Render provides UX design and product experience consulting services for SaaS companies.

Services are delivered through the following engagement types:

  • Product Adoption Diagnostic

  • Product Adoption Implementation

  • Product Adoption Partnership

All services focus on improving the usability, clarity, and effectiveness of existing digital products.


2. Product Adoption Diagnostic

The Product Adoption Diagnostic is a two-week engagement designed to evaluate a SaaS product’s user experience.

Typical deliverables include:

  • UX audit report

  • Friction analysis

  • Usability findings

  • Prioritized improvement roadmap

  • Annotated design recommendations

Payment & Refunds:

  • Fees must be paid in full before the engagement begins.

  • Work begun constitutes full commitment; fees are non-refundable once the engagement starts.


3. Product Adoption Implementation

Following the Product Adoption Diagnostic, Root & Render may provide a Product Adoption Implementation, focused on addressing the most critical UX issues identified.

  • Typical duration: three (3) months

  • Collaboration with the client’s product and engineering teams

Work may include:

  • Onboarding flow redesign

  • Feature workflow improvements

  • Dashboard UX optimization

  • Usability improvements

  • Feature prototypes

  • Design system foundations

Payment & Refunds:

  • Fees are set per engagement and non-refundable unless otherwise agreed in writing.


4. Product Adoption Partnership

Root & Render may provide ongoing UX support through a Product Adoption Partnership, functioning as fractional product UX leadership.

Typical work includes:

  • Onboarding optimization

  • Feature flow refinement

  • New feature UX design

  • Dashboard and interface improvements

  • UX roadmap collaboration

  • Usability improvements

  • Product UX experimentation

Subscription & Pauses:

  • Clients may pause services for up to two (2) billing cycles with prior notice.

  • Paused periods suspend active work and timelines but do not waive fees already billed.


5. Scope of Services

Root & Render services focus exclusively on product UX and interface design for SaaS products.

The following services are not included in any engagement:

  • Branding or logo design

  • Marketing graphics

  • Website marketing design

  • Advertising assets

  • Social media design

  • Copywriting

  • Software development

Any work outside the agreed scope requires a separate written agreement.


6. Scope Creep & Request Complexity

Root & Render determines how work is prioritized and scoped within each engagement.

  • Large or complex initiatives may be broken into smaller phases.

  • Requests that significantly exceed the agreed scope may require additional fees or a separate engagement.

  • Work outside the agreed scope will not be performed until a written agreement for additional services is executed.


7. Client Responsibilities

Clients agree to:

  • Provide clear requirements

  • Supply necessary product access

  • Designate a primary point of contact

  • Participate in collaboration sessions

  • Provide timely feedback (within seven [7] calendar days of receiving deliverables)

Delayed Feedback:

  • If feedback is not received within seven (7) days, Root & Render may pause work, reprioritize other requests, or adjust project timelines.

  • Extended delays may result in additional charges if milestones are impacted.


8. Payment Terms

  • All fees are due according to the agreed schedule.

  • Accepted payment methods: [insert payment methods here]

  • Late payments may incur a [insert %] late fee per month.

  • Failure to maintain payment may result in suspension of services.


9. Ownership of Work

  • Upon full payment, the Client owns final design deliverables created specifically for their product.

  • Root & Render retains ownership of internal processes, frameworks, and unused design concepts.

  • Client may not resell, redistribute, or use Root & Render methodologies outside the context of the engagement without written permission.


10. Portfolio & Marketing Rights

Root & Render may showcase completed work in portfolios, presentations, or marketing materials unless a separate confidentiality agreement restricts such use.


11. Termination

Either party may terminate an engagement with written notice.

  • Clients are responsible for fees for work completed up to termination.

  • Root & Render may retain work produced until payment obligations are satisfied.


12. Limitation of Liability

  • Root & Render’s total liability under this Agreement shall not exceed the total amount paid by the Client for the services in question.

  • Root & Render is not liable for indirect, incidental, or consequential damages, including lost revenue or profits.


13. Force Majeure

Root & Render is not liable for delays or failure to perform due to events outside its reasonable control, including natural disasters, acts of government, or technical outages.


14. Governing Law & Dispute Resolution

  • This Agreement shall be governed by the laws of the State of Georgia.

  • Parties agree to attempt mediation in good faith before initiating litigation for disputes arising under this Agreement.


15. SMS Communications (Service-Related Only)

Root & Render Design Studio, LLC (“Root & Render”) may use SMS (text messaging) solely for service-related communications connected to an active or prospective client engagement.

These communications may include:

  • Scheduling coordination

  • Meeting reminders

  • Project updates

  • Time-sensitive requests related to ongoing work

No Marketing Use
Root & Render does not use SMS for promotional or marketing purposes. SMS communication is strictly limited to operational and service-related matters.

Consent & Opt-In
By providing a phone number to Root & Render, the Client consents to receive service-related SMS communications. Consent is voluntary and not a condition of purchasing services.

Opt-Out Instructions
Clients may opt out of SMS communications at any time by replying “STOP” to any message. Upon receipt, Root & Render will discontinue SMS communications and continue communication through alternate channels (e.g., email or project management tools).

Message & Data Rates
Standard message and data rates may apply based on the Client’s mobile carrier and service plan. Root & Render is not responsible for such charges.

Data Usage & Privacy
Phone numbers collected for SMS communication will be used solely for service-related purposes and will not be sold, shared, or used for third-party marketing.

Carrier Disclaimer
Mobile carriers are not liable for delayed or undelivered messages.
